WellEarn Terms of Use
Last Updated: October 30, 2026
In Short: These Terms of Use (also called our Terms of Service) govern your use of WellEarn, an online service for learning to use AI tools, provided by Onelabel AI Ltd. By using the Service, you agree to these Terms. Key points: (1) you must be at least 18 years old; (2) WellEarn is for education and general information only — it is not financial, investment, legal, tax, career or other professional advice, and we do not promise that you will earn any income or get any particular result; (3) WellEarn subscriptions are offered to customers in the United States; they renew automatically until you cancel, and payments are charged by our affiliate OneLabel, Inc.; (4) the first payment for your plan can be refunded under the Money-Back Guarantee in Section 2 of our Refund Policy (https://wellearn.io/legal/refund#money-back-guarantee) if you meet its conditions, and other payments are non-refundable except as the law requires (if you are a consumer in the EEA, the UK or Switzerland, for example, you can withdraw within 14 days) or these Terms allow; (5) the AI features use third-party AI models, and their answers can be wrong; (6) if you live in the United States, these Terms are governed by the laws of the State of Delaware, and disputes are resolved through binding individual arbitration unless you opt out (Section 18); if you live anywhere else, these Terms are governed by the laws of the Republic of Cyprus, and disputes go to the courts of Nicosia (Section 21.1); wherever you live, you keep the consumer protections of the country where you live. Please read the full Terms below.
Important subscription notice: Your subscription renews automatically at the end of each billing period, at the price shown at checkout, until you cancel. To avoid being charged for the next period, cancel at least 24 hours before your current billing period or introductory period ends. You can cancel in your account in the WellEarn web dashboard (Profile › Settings › Manage subscription › Cancel subscription) or by emailing support@wellearn.io; our Subscription Policy (https://wellearn.io/legal/subscription) explains the steps. In your account, the cancellation takes effect right away. By email, it counts from the moment your email reaches us. If a renewal is charged although you canceled at least 24 hours before it, we refund it. Deleting an App or your account does not cancel your subscription.
1. Introduction and Acceptance
Welcome to WellEarn. These Terms of Use (these “Terms”) constitute a legally binding agreement between you (the “User” or “you”) and Onelabel AI Ltd (“OneLabel”, “Company”, “we”, “us” or “our”), a company incorporated in the Republic of Cyprus (registration number HE 481834), the owner and operator of WellEarn. They govern your access to and use of the WellEarn website (wellearn.io), our quiz and checkout pages (quiz.wellearn.io and quiz.wellearn.ai), the WellEarn web dashboard (dashboard.wellearn.io), the WellEarn apps for iOS and Android (each, an “App”), and all related services, products, features, software, content, and resources (collectively, the “Service” or “Services”). WellEarn is a product of Onelabel AI Ltd.
Onelabel AI Ltd owns and provides WellEarn. Its affiliate OneLabel, Inc., a Delaware corporation in the United States, charges the payments for WellEarn as the merchant of record and handles refunds and payment disputes for the payments it charges. It charges them through our payment processor, Stripe. OneLabel, Inc. does not provide the Service, manage your account, or assume any obligations related to the operation, support, or performance of the Service. Your contractual relationship for the Service is solely with Onelabel AI Ltd, and your rights and obligations under these Terms are the same whichever company charges your payment. Neither Onelabel AI Ltd nor OneLabel, Inc. is jointly liable for the other's obligations unless these Terms expressly say so. If we change the company that charges payments, we will tell you before the change applies to you and show the new name at checkout. In these Terms, “OneLabel” means Onelabel AI Ltd, not OneLabel, Inc., except in the Arbitration Notice below and in Section 18, where it also includes our affiliates.
By accessing or using the Service (including browsing the website, taking the quiz, or using any tools, products, or features), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by the policies that form part of them: our Subscription Policy (https://wellearn.io/legal/subscription), our Refund Policy (https://wellearn.io/legal/refund) and the Money-Back Guarantee in Section 2 of our Refund Policy (https://wellearn.io/legal/refund#money-back-guarantee). Our Privacy Policy (https://wellearn.io/legal/privacy) explains how we handle your personal data. If you downloaded an App from Apple’s App Store or Google Play, the additional terms in Section 22 also apply. If you do not agree with these Terms or any related policies, you must not use the Service.
By agreeing to these Terms, you represent and warrant that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. You also represent that you are not barred from using the Service under any applicable laws — for example, you are not located in a country that is subject to U.S. or EU sanctions or embargoes, and you are not on any government list of prohibited or restricted parties.
Arbitration Notice: If you live in the United States, then, except for certain kinds of disputes described in Section 18, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND ONELABEL ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. In this notice, as in Section 18, “OneLabel” also includes our affiliates, among them OneLabel, Inc., the company that charges your payments. You can opt out of arbitration within 30 days (Section 18.4). If you live anywhere else, Section 21.1 says which law applies and which courts decide disputes.
We reserve the right to modify or update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above and, if required by law, provide additional notice (for example, via email or a notice on our website). Your continued use of the Service after any such changes become effective constitutes your acceptance of the new Terms. If you do not agree to any update, you must stop using the Service.
2. The Service
WellEarn is an online education service that helps adults learn to use AI tools in their work and in their own projects. Depending on your plan, the Service may include, among other things:
Personal Learning Plan: a step-by-step plan, built from your quiz answers and your learning goal, that recommends lessons and tracks your progress.
Lessons and Courses: short lessons, courses and challenges about AI tools, with practice tasks; for some practice tasks you get feedback written by AI (see Section 6).
AI Tools and AI Chat: a library of AI tools and prompts, and an AI chat in which you can choose between AI models from third-party providers and, in the web dashboard, create images (see Section 6).
Course Certificates: certificates for courses you complete, each with a public verification page (see “Certificates” below).
Web Dashboard and Apps: you use the Service in the web dashboard and in the Apps. Subscriptions are sold on our website; the Apps let you sign in with your existing WellEarn account and do not sell subscriptions.
All content and features provided through the Service are collectively referred to in these Terms as the “Service Content”. You need an active subscription to use most of the Service, as described in Section 4. We may introduce new features or modify or discontinue existing features as the Service evolves (see Section 20); any new feature will also be considered part of the “Service” and governed by these Terms.
Certificates: When you complete a course that awards a certificate, we create the certificate and a public verification page for it. The page shows the name on the certificate, the course and the date the certificate was issued, and anyone who has the link or scans the QR code on the certificate can open it. You can edit the name shown on your certificate. A WellEarn certificate shows that you completed a WellEarn course; it is not an academic degree or a professional license.
Educational Purpose; No Professional Advice. THE SERVICE IS PROVIDED FOR GENERAL EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. WellEarn is not a substitute for professional advice and does not provide financial, investment, legal, tax, accounting, employment, or career advice. Any content, examples, AI outputs, or strategies are general in nature and may not be suitable for your particular situation. We do not promise or guarantee that you will earn any income, obtain any job or client, achieve any financial result, or attain any particular outcome from using the Service. Any testimonials or examples are not typical, and individual results will vary. You are solely responsible for the decisions you make and the actions you take, and you should seek guidance from a qualified professional where appropriate. You use the Service at your own discretion and risk.
3. Eligibility, Accounts, and Registration
3.1 Eligibility. You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old, that you have not previously been suspended or removed from the Service, and that your registration and use of the Service comply with all applicable laws and regulations. If we become aware that a user under 18 has provided us with personal information, we will take steps to delete such information and terminate the account in accordance with applicable law, including the Children’s Online Privacy Protection Act (COPPA).
3.2 Account Registration. Your WellEarn account is created when you buy a subscription on our website, with the email address you give at checkout; we then email you a link to set your password. You agree to provide true, accurate, current, and complete information and to keep it up to date. You are solely responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. Use a strong password and do not share your credentials. If you believe your account is no longer secure or has been accessed without authorization, you must immediately notify us at support@wellearn.io. We are not liable for any loss or damage arising from your failure to secure your account or to notify us of unauthorized use in a timely manner.
3.3 One Account; No Misrepresentation. You may not register multiple accounts for yourself or create an account using someone else’s identity or information, and you may not misrepresent your identity or affiliation with any person or entity. Your account is personal to you and is not transferable. We reserve the right to suspend or terminate accounts that violate these requirements.
4. Payments, Subscriptions, Fees, and Taxes
Subscription Policy: Our Subscription Policy (https://wellearn.io/legal/subscription) explains in plain words how subscriptions bought on our website renew and are billed, how to cancel them, and what happens when a payment fails. It forms part of these Terms.
Certain features of WellEarn may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees you will be charged; fees (and applicable taxes, if any) will be shown at or near the point of purchase. Except as required by law or expressly stated in these Terms (including in the Money-Back Guarantee in Section 2 of our Refund Policy), fees are non-refundable. Unless otherwise specified, fees are stated and charged in U.S. Dollars (USD).
4.1 Price and Authorization. We reserve the right to determine and change pricing for the Service, including additional fees or charges, with advance notice of changes before they apply. You authorize our affiliate OneLabel, Inc. and our payment processor, Stripe, to charge all sums for the orders you make and the level of Service you select, including applicable taxes, to the payment method you provide. If you pay by card, we may seek pre-authorization to verify the card is valid and has the necessary funds available. OneLabel, Inc. is responsible for billing, payment collection, and the handling of refunds and payment disputes for the payments it charges. The name that appears on your bank or card statement is described in our Subscription Policy.
4.2 Subscription Service and Automatic Renewal. The Service is offered as subscription plans with automatically recurring payments (a “Subscription Service”). Your subscription begins on the date you purchase it (the “Subscription Billing Date”) and continues for the billing period of your plan (for example, 1 week, 4 weeks or 12 weeks). Your subscription automatically renews for successive billing periods unless you cancel. If your plan starts with an introductory period, it then renews as the plan shown at checkout, which can have a different billing period and price (for example, a 1-week introductory plan that then renews every 4 weeks). By activating a Subscription Service, you authorize OneLabel, Inc. and our payment processor to charge your payment method automatically on a recurring basis — the subscription fee plus applicable taxes — on the Subscription Billing Date and on each renewal date thereafter, until you cancel. The renewal price may differ from any introductory or promotional price; unless we notify you of a change, renewals are at the then-current standard price for your plan shown at checkout. Each renewal is charged at the end of the billing period before it, counted from your Subscription Billing Date.
4.3 Introductory Periods and Trials. Some plans start with an introductory period at a lower price (for example, a 1-week plan shown at checkout as a trial or an intro). Unless you cancel at least 24 hours before the introductory period ends, it automatically converts to the paid plan shown at checkout, and you will be charged that plan’s price. If we offer a free trial, the same rule applies, and the checkout page will say so. Unless otherwise stated, introductory offers are limited to one per person. We recommend that you set a reminder for when your introductory period ends so you can cancel in time if you decide not to continue.
4.4 Add-ons and One-Time Purchases. After you buy a plan, we may offer you an add-on. An add-on is a separate subscription with its own price and billing period; it renews automatically until you cancel it, and its price and renewal terms are shown before you add it. The Service may also offer one-time purchases. The price of any add-on or one-time purchase is shown before you buy it, and you agree to pay that amount. The no-refund rule in Section 5.3 applies to add-ons and one-time purchases unless the law provides otherwise; the Money-Back Guarantee in Section 2 of our Refund Policy does not cover them.
4.5 Payment Failures and Delinquent Accounts. It is your responsibility to keep your payment method information current, valid, and sufficiently funded. If a recurring payment fails (for example, due to an expired card or insufficient funds), we or our processor may attempt to re-run the charge or contact you for an updated method. We may suspend or terminate access to the Service (including paid features) for any account for which any amount is due but unpaid, and you may be responsible for fees incidental to chargebacks or collection efforts. You remain responsible for any amounts that could not be charged.
4.6 Taxes. Prices do not automatically include taxes. If any sales, use, value-added, or other taxes are required by law on your purchase, we will either include them in the price or charge them additionally at the applicable rate, and you agree to pay such taxes (except taxes based on our income). Where applicable, taxes will be shown at checkout.
5. Cancellation and Refund Policy
5.1 Cancellation by You. You may cancel your subscription or introductory period at any time. To cancel a subscription bought on our website, use Cancel subscription in your account in the WellEarn web dashboard (Profile › Settings › Manage subscription), or email support@wellearn.io from the email address of your WellEarn account; our Subscription Policy describes the steps. To avoid being charged for the next period, cancel at least 24 hours before your current billing period or introductory period ends. In your account, the cancellation takes effect right away. By email, it counts from the moment your email reaches us. If a renewal is charged although you canceled at least 24 hours before it, we refund it. If you have more than one subscription, for example a plan and an add-on, and ask us to cancel, we cancel all of them unless you tell us otherwise. After cancellation, your subscription will not auto-renew, and you will continue to have access until the end of the period you already paid for, but you will not receive a prorated refund for the remaining days except where required by law or provided in the Money-Back Guarantee in Section 2 of our Refund Policy. Deleting an App or your account does not cancel your subscription.
5.2 Termination or Cancellation by Us. We reserve the right to terminate or not renew your subscription at our discretion. If we discontinue or materially downgrade the Service or your plan and end your subscription without cause, we will provide a pro-rata refund of any prepaid amounts for the remaining period. If your access is terminated or suspended for cause — for example, due to your violation of these Terms, fraud, or non-payment — you will not be entitled to any refund for unused time.
5.3 General No-Refund Policy. Except as provided in the Money-Back Guarantee in Section 2 of our Refund Policy (https://wellearn.io/legal/refund#money-back-guarantee), as required by applicable law, or as expressly stated in these Terms, all purchases and payments are final and non-refundable. This includes subscription fees (including if you cancel mid-term), introductory-period fees, add-ons, one-time purchases, and unused Service Content. Forgetting to cancel before a renewal, or using the Service lightly or not at all during a period, does not by itself entitle you to a refund. We encourage you to evaluate the Service promptly during your first billing period and cancel in time if it is not a fit. Our Refund Policy (https://wellearn.io/legal/refund) lists every case in which you can get money back.
5.4 Billing Errors and Service Problems. We always refund a billing error, as Section 4 of our Refund Policy defines it: you were charged twice for the same thing; charged an amount other than the price that applied to that payment: the price shown when you bought or, after a price change we told you about in advance (Subscription Policy, Section 8), the new price; charged for a renewal although you canceled at least 24 hours before it, in your account or by an email that reached us by then; charged for a plan or add-on you did not choose; or you paid for a service we did not provide. If a significant technical problem on our side made the Service unavailable for a large part of a billing period you paid for, we refund or credit that payment, in full or in part. Short or minor interruptions do not usually lead to a refund.
5.5 Where We Sell. WellEarn subscriptions are offered to customers in the United States. If you buy one while you live in another country, the mandatory consumer protections of that country still apply to you, as Section 21.1 says; if you are a consumer in the EEA, the UK or Switzerland, you can withdraw within 14 days, as Section 5 of our Refund Policy (https://wellearn.io/legal/refund) explains.
5.6 Rights Under Local Law. Local laws regarding refunds and cancellations vary; in the United States, for example, there is generally no automatic cooling-off period for online subscriptions. The refund rules in this Section 5 apply except to the extent applicable law in your jurisdiction provides otherwise, in which case we will honor those rights.
5.7 Chargebacks. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us to resolve the issue may be considered a violation of these Terms. We reserve the right to suspend your account pending resolution, to contest unwarranted chargebacks, and to terminate the account of any user who abuses chargebacks (for example, disputing a legitimate charge while continuing to use the Service). If a chargeback is granted by your bank, your account may be terminated immediately.
5.8 Processing Refunds. If a refund is issued, it will be credited to the original payment method (or an alternative method we mutually agree on) and may take several business days to appear. A refund for a given period typically results in immediate termination of access to the paid Service for that period. This Section does not affect any rights you have under applicable law.
6. AI Tools and AI Assistant
WellEarn offers AI-powered features: the AI chat, in which you can choose between AI models from third-party providers and, in the web dashboard, create images; AI feedback on your answers to practice tasks in lessons; and other AI tools we may add (collectively, the “AI Features”). The AI Features are designed to help you learn and practice AI skills. Their responses are for general informational and educational purposes only — they are not personalized professional advice and should not be treated as guidance for your particular situation. Always use your own judgment and, where appropriate, consult a qualified professional.
You Are Talking to AI: When you use the AI chat or get AI feedback, you are interacting with an AI system, not a person. Images you create with the AI Features are generated by AI.
Input and Output. When you use the AI Features, you may submit questions, text, or other prompts (your “Input”) and receive a generated response (“Output”). You retain any rights you have in your Input. To the extent permitted by law and subject to these Terms, we assign to you our rights in the Output generated for you, so that you may use it for your personal purposes — subject to any third-party rights that may be contained in the Output (for example, if the Output includes material from another source, you remain responsible for respecting that source’s rights). You acknowledge that AI-generated content may not be unique to you: due to the nature of machine learning, similar Inputs from different users may produce the same or similar Outputs, and such similarity gives you no claim against us or other users.
AI Providers and Your Data. To operate the AI Features, we send your Input — for example, your messages, the images you attach, the earlier messages of the same chat, and your answers to practice tasks — to the provider of the model that answers it: OpenAI, Google (Gemini) or Anthropic (Claude). They process it under their API terms to return the Output; what each of them may do with it is set by those terms. We store your chats and their Output so that you can return to them, and we keep records of them for support, billing and dispute purposes, as described in our Privacy Policy. We do not use your chats to train or fine-tune AI models. Our use of your data in connection with the AI Features is governed by our Privacy Policy and applicable data-protection laws.
Limitations of AI. AI is an evolving technology and may produce information that is incorrect, incomplete, outdated, or misleading, especially about specific personal circumstances or rapidly changing events. Do not rely solely on AI Output for important decisions, and always verify critical information. We make no warranty that AI Output will be correct, reliable, or suitable for your needs, and we are not responsible for any actions you take or refrain from taking based on it. You agree not to use the AI Features to generate disallowed content (such as harassment, hate speech, infringing material, or anything illegal). We may review AI interactions when we need to, for example to enforce these Terms, prevent misuse or answer your support request, and we keep them as our Privacy Policy describes. We may limit or suspend the AI Features at any time, including for excessive use or suspected violations of these Terms or any third-party AI provider’s policies.
7. Licenses and Intellectual Property
7.1 Ownership of Service Content. The Service and all materials provided through it — including the website design, text, graphics, logos, branding, trademarks (e.g., the “WellEarn” name and logo), videos, articles, software code, and other content (collectively, the “Materials” or “Service Content”) — are owned by Onelabel AI Ltd or its licensors and are protected by intellectual property and other laws. OneLabel retains all right, title, and interest in and to the Service and the Materials, except for content provided by users. Nothing in these Terms transfers any ownership of intellectual property to you; you are granted only the limited license described below, and we reserve all rights not expressly granted.
7.2 Limited License to Use the Service. Subject to your complete and ongoing compliance with these Terms, OneLabel grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Service Content for your own personal, non-commercial use, solely as intended by us and permitted by these Terms.
7.3 License Restrictions. Except as expressly authorized in writing by us or permitted by applicable law (such as brief quotations under fair use), you will not, and will not permit anyone else to: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works from the Service or any Service Content; (b) modify the Service, or reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or trade secrets of any portion of the Service; (c) rent, lease, lend, sell, license, sublicense, or transfer the Service, your account, or any of your rights under these Terms; (d) remove, obscure, or alter any copyright, trademark, or other proprietary notices; (e) use any robot, spider, scraper, or other automated means to access the Service or extract data without our express permission; or (f) use the Service to build a competing product or service, or in any manner that suggests an affiliation with or endorsement by WellEarn that does not exist. Any use outside the scope of the license granted here is a breach of these Terms and may violate applicable law.
7.4 Feedback. If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid license to use, modify, and incorporate that Feedback in our products and services without any obligation, payment, or credit to you.
8. User Content
Certain features may permit you to submit, upload, or otherwise provide content to the Service (for example, your messages and images in the AI chat, your answers to practice tasks, the name on your certificates, feedback, or other text, images, or materials — collectively, “User Content”). You retain any ownership rights you have in your User Content. By providing User Content, you grant OneLabel a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting), create derivative works of, publish, and otherwise use your User Content for the purpose of operating, providing, and improving the Service and as permitted by our Privacy Policy. We will not use your User Content for marketing or other purposes outside the scope of the Service without your consent.
You are solely responsible for your User Content. You represent and warrant that you own or have all necessary rights to your User Content and that it does not infringe or violate any third-party right (including copyright, trademark, privacy, or publicity rights), is not defamatory, obscene, or unlawful, and could not reasonably be considered objectionable. We are under no obligation to monitor User Content, but we may, at any time and without notice, screen, remove, edit, or block any User Content that in our judgment violates these Terms or the law, and we may terminate the accounts of repeat infringers. You are responsible for retaining copies of any User Content you submit.
9. Prohibited Conduct
You agree to use WellEarn only for lawful purposes and in accordance with these Terms. You must not (and must not assist or enable anyone else to):
Violate Any Law: use the Service for any illegal purpose, or to encourage or facilitate illegal activity, or in violation of any applicable law or regulation (including those governing data protection, intellectual property, and export control/sanctions).
Infringe Rights: upload, post, or share content that infringes or violates another person’s rights, including intellectual property, privacy, or publicity rights. You are responsible for ensuring you have rights to any content you use on the platform (including in AI prompts).
Engage in Fraud or Misrepresentation: impersonate any person or entity, misrepresent your identity or affiliation, or attempt to defraud others (for example, by providing false information or soliciting money or personal information under false pretenses).
Harass or Harm: transmit or share content that is defamatory, libelous, harassing, threatening, hateful, abusive, obscene, pornographic, or otherwise objectionable, or that targets individuals or groups in a derogatory manner. Content involving exploitation of minors or any other criminal activity is strictly forbidden and will be reported to law enforcement.
Compromise Security: introduce viruses, worms, or other malicious code; attempt to gain unauthorized access to the Service or its systems; probe, scan, or test the vulnerability of our systems; or interfere with security-related features. Any attempt to attack or disrupt the Service (for example, via a denial-of-service attack) is strictly prohibited.
Interfere or Overburden: use the Service in a manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use of the Service; use automated means to access the Service beyond the provided interface; or spam other users.
Circumvent Limits: bypass or attempt to bypass any usage limits, restrictions, or access controls (for example, by creating multiple accounts to evade plan limits).
Resell or Commercially Misuse: resell or commercially exploit access to the Service or its content without our prior written consent, use the Service to build or operate a competing service, or falsely imply that content generated through WellEarn is your own product.
Violate Third-Party Terms: use the Service in ways that cause us to violate the terms of an integrated third party (for example, generating content that violates an AI provider’s policies).
Use in Prohibited Regions: access the Service if you are located in a country or region subject to comprehensive sanctions or embargoes, or if you are on a government-maintained prohibited-party list. This list of prohibited uses is not exhaustive; any conduct that we believe violates the spirit of these Terms or harms our users or platform may result in enforcement action, including warnings, content removal, suspension or termination of accounts (Section 14), and involvement of law enforcement.
10. Third-Party Services, Integrations, and Links
WellEarn works with third-party services to deliver certain functionality (for example, our payment processor, Stripe, and the AI providers that power our AI Features). Each of these services has its own terms and privacy policies, which may apply when you use their features via WellEarn. When you use a feature that relies on a third party, we share the data the feature needs (for example, your chat messages are sent to the AI provider whose model answers them), as described in our Privacy Policy. We do not control the availability, reliability, or performance of third-party services and make no warranties regarding them. You agree to use integrated third-party services in compliance with their terms, and any violation of those terms through WellEarn is also a violation of these Terms. Links to third-party websites or resources are provided for convenience only; we do not endorse and are not responsible for third-party content or sites, and your use of them is at your own risk and subject to their terms.
11. Communications
By creating an account, you agree that we may send you administrative or transactional communications relating to the Service — such as the link to set your password, email verification, password resets, security and privacy notices, and notices of changes to these Terms or our policies. These communications are part of the Service, and you cannot opt out of them (other than by closing your account). We send marketing emails (for example, tips and news about WellEarn) only if you agreed to receive them, for example in our quiz; you can stop them at any time with the unsubscribe link in any marketing email, in the email settings of your dashboard, or by contacting us. If an App offers notifications, you can turn them off in your device settings. Opting out of marketing will not affect service-related communications.
12. Copyright and Intellectual Property Infringement (DMCA)
We respect the intellectual property rights of others and ask users of the Service to do the same. We respond to notices of claimed infringement that meet the requirements of the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content on the Service infringes a copyright or other intellectual property right you own or control, you may send us a written Notification of Claimed Infringement, including: an electronic or physical signature of a person authorized to act on behalf of the rights owner; a description of the work claimed to be infringed; a description of the allegedly infringing material and its location on the Service; your address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are the rights owner or authorized to act on the owner’s behalf.
Where to Send Notices. Send notifications and counter-notifications by email to support@wellearn.io, with “Copyright Notification” in the subject, or by mail to Onelabel AI Ltd, Attn: Legal Department (Copyright Notification), 75 Prodromou, Oneworld Parkview House, Floor 4, 2063 Nicosia, Cyprus. If your material was removed and you believe this was a mistake or misidentification, you may submit a Counter Notification with the information required by 17 U.S.C. § 512. It is our policy to remove infringing material and, in appropriate circumstances, to terminate the accounts of repeat infringers. Any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake, may be liable for damages under 17 U.S.C. § 512(f).
13. Privacy and Data Security
Your privacy is important to us. Our Privacy Policy (https://wellearn.io/legal/privacy) explains what personal data we collect in connection with the Service, how we use and share it, how long we keep it, and the rights you have, including under the EU and UK GDPR and U.S. state privacy laws. Our Cookie Policy (https://wellearn.io/legal/cookies) explains the cookies and similar technologies that our website, quiz and dashboard use.
14. Term, Termination, and Suspension
14.1 Term. These Terms are effective when you accept them or first access or use the Service, and continue until terminated as described below.
14.2 Termination by You. You may stop using WellEarn at any time, cancel your subscription as described in Section 5, and ask us to delete your account and personal data by emailing support@wellearn.io from the email address of your account; we delete it within 30 days of your request (subject to data we may retain for legal or business reasons, as described in our Privacy Policy). Deleting your account does not cancel your subscription: cancel it as described in Section 5, or ask us to do both in one email. Termination is effective once we process your request, after which you must cease all use of the Service.
14.3 Termination or Suspension by Us. We may suspend or terminate your account or access to the Service immediately, with or without notice, for any reason, including: your breach of these Terms or any applicable law; suspected fraud or misuse; conduct that poses a security risk, legal liability, or threat to others; or if required by law or government request. For less severe issues, we may suspend or restrict features in lieu of termination.
14.4 Effect of Termination. Upon termination: your right and license to access or use the Service immediately cease, and we may deactivate or delete your account and associated data; you must pay any amounts owed prior to termination; and you will not be entitled to any refund for unused time except as required by law or expressly provided in these Terms (for example, a pro-rata refund where we terminate without cause). If your account is terminated for breach, you must not access the Service under another account or create a new account without our permission, and we may use technical means (such as blocking IP addresses, device identifiers, or email domains) to enforce termination. We may also discontinue all or part of the Service at any time; where we do so, we will endeavor to provide notice and offer refunds for unused prepaid portions as appropriate.
14.5 Survival. Provisions that by their nature should survive termination — including Sections 5 (to the extent of accrued obligations), 7, 8, 13, 15, 16, 17, 18, 21, and 22 — will survive.
15. Disclaimer of Warranties
THE SERVICE AND ALL SERVICE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND YOUR USE OF THEM IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONELABEL DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. There may be delays, omissions, outages, or inaccuracies. We do not warrant the accuracy, completeness, reliability, or usefulness of any information or content made available through the Service (including via the AI Features or educational materials); for example, AI output may be wrong and content may become outdated. You use any such information at your own risk.
No Professional Advice; No Guarantee of Results. WellEarn does not provide financial, investment, legal, tax, accounting, employment, or career advice, and the Service is not a substitute for professional advice. We do not warrant or guarantee that you will achieve any particular result, income, or success from using the Service. Any decisions you make based on the Service are your own responsibility and risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you; in such cases, our warranties are limited to the extent permitted by law.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ONELABEL OR ITS AFFILIATES AND THEIR RESPECTIVE DIRECTORS, SHAREHOLDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In particular, we are not liable for decisions or actions you take based on information from the Service (including AI outputs or educational content); for unauthorized access to your account or data not caused by our gross negligence or intentional misconduct; for downtime, service unavailability, or loss or corruption of data; or for issues originating from your equipment or third-party services we do not control.
Cap on Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ONELABEL AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100. This limitation is cumulative, not per-incident; multiple claims will not increase the cap. Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud or intentional misconduct, or for any other liability that cannot be limited or excluded under applicable law. These limitations are a fundamental element of the basis of the bargain between you and us.
17. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless OneLabel and its affiliates and their respective directors, shareholders, officers, employees, contractors, agents, partners, and licensors (the “Indemnified Parties”) from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms or of any law or regulation; (c) your User Content or any content you provide; or (d) your violation of any third-party right. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense. You may not settle any such matter without our prior written consent. Your indemnification obligations survive termination of your account or these Terms.
18. Dispute Resolution and Arbitration
This Section 18 applies only if you live in the United States. If you live anywhere else, it does not apply to you, and Section 21.1 says which law applies and which courts decide disputes. In this Section 18, “OneLabel” also includes our affiliates, among them OneLabel, Inc.; claims against them about the Service or payments for it are covered the same way, including 18.7.
18.1 Informal Resolution. We want to resolve disputes quickly and fairly. Before starting an arbitration or other proceeding, you agree to first contact us at support@wellearn.io with a brief written description of the dispute and your contact information, and both you and OneLabel agree to attempt in good faith to resolve it informally for at least 30 days after the notice is received.
18.2 Agreement to Arbitrate. Except as described in Section 18.3, you and OneLabel agree that every dispute arising in connection with these Terms, the Service, or communications from us will be resolved through final and binding, individual arbitration rather than in court. This includes all claims whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. YOU AND ONELABEL ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The Federal Arbitration Act governs the interpretation and enforcement of this Section 18.
18.3 Exceptions. Nothing in this Section waives the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through an applicable government agency where available; (c) seek injunctive or equitable relief in a court in aid of arbitration or to protect intellectual property; or (d) bring any claim that by law cannot be required to be arbitrated.
18.4 Opt-Out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing support@wellearn.io or writing to Onelabel AI Ltd, Attention: Legal Department – Arbitration Opt-Out, 75 Prodromou, Oneworld Parkview House, Floor 4, 2063 Nicosia, Cyprus, in each case stating your full legal name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms (including the class-action waiver to the extent permitted by law) still apply, and disputes will be resolved in the courts identified in Section 21.1.
18.5 Arbitrator and Procedure. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”), as modified by these Terms, and is subject to the Federal Arbitration Act. The AAA Rules are available at www.adr.org . A single neutral arbitrator will resolve the dispute, and has exclusive authority to resolve any question about the interpretation, applicability, or enforceability of this arbitration agreement (except that only a court may decide questions about the validity of the class-action waiver). A party seeking arbitration must first send a written Notice of Arbitration to the other party (our address is in Section 18.4) describing the claim and the relief sought; if the dispute is not resolved within 30 days, either party may commence arbitration. For claims of US$10,000 or less, you may choose whether the arbitration is conducted on documents only, by telephone or video, or in person.
18.6 Fees and Relief. Payment of filing, administration, and arbitrator fees is governed by the AAA Rules; each party is responsible for its own attorneys’ fees except where the arbitrator awards them as permitted by law. The arbitrator may award any individual relief that a court could, on an individual basis only, and must issue a reasoned written decision. The arbitrator’s award is binding and may be entered as a judgment in any court of competent jurisdiction.
18.7 No Class Actions. You and OneLabel agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, and the arbitrator may not consolidate more than one person’s claims. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and the remaining claims will be arbitrated. This Section survives termination of these Terms or your account.
19. Force Majeure
We will not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control (“Force Majeure”), including natural disasters, acts of God, fire, epidemic or pandemic, war, terrorism, civil unrest, strikes or labor disputes, power or internet outages, failures of third-party service providers or telecommunications networks, and governmental actions (such as lockdowns, sanctions, or new regulations). During a Force Majeure event, our obligations are suspended to the extent affected, and we will make reasonable efforts to mitigate and resume performance. If such an event continues for an extended period (for example, more than 30 days) and fundamentally frustrates the purpose of the Service, either party may terminate the affected services on written notice, in which case we will refund any prepaid, unused fees for the period during which the Service could not be provided, on a pro-rata basis.
20. Changes to the Service and to These Terms
20.1 Changes to the Service. WellEarn is an evolving platform. We reserve the right to modify, update, or discontinue the Service (in whole or in part) at any time, with or without notice — for example, to add or remove features, change the interface, or improve our algorithms. Where a change is material and affects a feature you have paid for, we will endeavor to provide advance notice and, where a paid feature is removed or significantly degraded with no comparable alternative, may offer a remedy such as a partial refund or alternative service at our discretion. We are not liable for any modification, suspension, or discontinuation of the Service; your sole remedy if you are dissatisfied is to stop using the Service or cancel your subscription.
20.2 Changes to These Terms. We may revise these Terms from time to time. Revisions are effective when posted, except that, for existing users, material revisions will be effective 30 days after posting or notice to you unless otherwise stated or required by law. We will update the “Last Updated” date and, where required, provide additional notice. If you do not agree to the revised Terms, you must stop using the Service and cancel any subscription before the changes take effect; your continued use after the changes become effective constitutes acceptance.
21. Governing Law and General Provisions
21.1 Governing Law and Jurisdiction. If you live in the United States, these Terms and any dispute between you and OneLabel are governed by the laws of the State of Delaware and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law principles; disputes are resolved by individual arbitration under Section 18, and where these Terms let a dispute go to court, it goes to the state or federal courts located in the State of Delaware, except that either of us may bring an individual action in small claims court. If you live anywhere else, these Terms and any dispute between you and OneLabel are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law principles, and disputes go to the courts of Nicosia, Cyprus; Section 18 does not apply to you, and if you are a consumer in the EEA, the UK or Switzerland, Section 5 of our Refund Policy explains your right to withdraw from a purchase within 14 days. Wherever you live, nothing in these Terms takes away the consumer protections that the mandatory law of the country, or the U.S. state, where you live gives you, and if you are a consumer in the European Union, the European Economic Area, the United Kingdom or Switzerland, you may also bring proceedings in the courts of the country where you live. The Service's infrastructure is located primarily in the United States, and we make no representation that the Service is appropriate or available for use in other locations; if you access it from elsewhere, you are responsible for compliance with local laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21.2 Entire Agreement; Severability; Waiver. These Terms, together with the policies that form part of them (see Section 1), are the entire and exclusive agreement between you and OneLabel regarding the Service and supersede all prior understandings. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of it.
21.3 Assignment; No Third-Party Beneficiaries; Relationship. You may not assign or transfer these Terms or your rights without our prior written consent; we may assign these Terms at any time without notice or consent (for example, in connection with a merger, acquisition, or sale of assets). Except for the Indemnified Parties and, with respect to an App, Apple and its subsidiaries (Section 22), these Terms create no third-party beneficiaries. You and OneLabel are independent contracting parties; these Terms create no agency, partnership, joint venture, or franchise relationship.
21.4 Interpretation; Headings; Language. In these Terms, “include” and “including” mean “including but not limited to,” and examples are illustrative, not exhaustive. Section headings are for convenience only. These Terms are written in English; any translation is provided for convenience, and the English text governs in case of conflict.
21.5 Export Controls and Electronic Communications. You agree to comply with all applicable export-control and sanctions laws and not to access or use the Service in violation of any embargo, prohibition, or restriction. By using the Service, you consent to receive notices and other communications from us electronically (including by email or by posting on the Service), and you agree that such electronic communications satisfy any legal requirement that communications be in writing.
21.6 Notice to California Residents. Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at +1-800-952-5210.
22. Additional Terms for the WellEarn Apps
Google Play: If you downloaded an App from Google Play, these Terms are concluded between you and Onelabel AI Ltd only, not with Google LLC (“Google”). Your use of Google Play is subject to Google’s terms and policies. Onelabel AI Ltd, not Google, is solely responsible for the App, its content, maintenance and support, and any claims relating to it.
If you downloaded an App from Apple’s App Store, the following terms also apply, and they prevail over any conflicting provision of these Terms with respect to the App:
Acknowledgement: These Terms are concluded between you and Onelabel AI Ltd only, and not with Apple Inc. (“Apple”). Onelabel AI Ltd, not Apple, is solely responsible for the App and its content.
Scope of License: The license granted for the App in Section 7.2 is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set out in Apple’s Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing, where available.
Maintenance and Support: We are solely responsible for providing any maintenance and support services for the App; you can reach us at support@wellearn.io. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
Warranty: We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
Product Claims: We, not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Legal Compliance: You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-Party Terms: You must comply with applicable third-party terms of agreement when using the App, such as your wireless data service agreement.
Third-Party Beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms with respect to the App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Developer Name and Address: Questions, complaints, or claims with respect to the App may be directed to Onelabel AI Ltd, 75 Prodromou, Oneworld Parkview House, Floor 4, 2063 Nicosia, Cyprus; email support@wellearn.io.
23. Version History
October 30, 2026: to avoid being charged for the next period, cancel at least 24 hours before your current billing period or introductory period ends (the Important subscription notice and Sections 4.3 and 5.1); the Money-Back Guarantee in Section 2 of our Refund Policy has conditions and does not cover add-ons (Section 4.4); the right to withdraw within 14 days is described for consumers in the EEA, the UK and Switzerland (Sections 5.5 and 21.1); OneLabel, Inc. is named with its state and country only; Section 4.2 no longer says that renewals are charged “without further notice”; Section 6 states plainly that we do not use your chats to train or fine-tune AI models, and says when we may review AI interactions instead of reserving a general right to monitor them. For a subscription bought before this version, the 24-hour rule applies 30 days after this version was published (Section 20.2), and the Money-Back Guarantee and the right to withdraw stay as they were when you bought it.
The version of October 29, 2026 replaced the Terms of Service dated August 11, 2026. Main changes: our affiliate OneLabel, Inc., a Delaware corporation, is named, with its address, as the company that charges all payments, as the merchant of record; the Money-Back Guarantee in Section 2 of our Refund Policy (https://wellearn.io/legal/refund#money-back-guarantee) is an exception to the no-refund rule; WellEarn subscriptions are offered to customers in the United States, and buyers who live elsewhere can withdraw within 14 days (Refund Policy, Section 5); if you live in the United States, these Terms are governed by the laws of the State of Delaware, with individual arbitration that also covers our affiliates, and if you live anywhere else, by the laws of the Republic of Cyprus, with the courts of Nicosia; a cancellation in your account takes effect right away, and one by email counts from the moment it reaches us; the AI section names our AI providers and no longer reserves the right to fine-tune models on your chats; certificates and the Apps are covered. You can ask us for a copy of an earlier version.
